Plan Schedule

Version 2.0 · Effective 26 October 2026

What your subscription covers, and what it does not. This Schedule forms part of our Terms of Service and Engagement, which deal with your commitment, fees, discounts, renewal and changing plan.

About this Schedule

1.1

This Schedule sets out what your subscription covers. It forms part of our Terms of Service and Engagement and, if the two differ on what a plan covers, this Schedule takes precedence.

1.2

Everything in this Schedule applies to Launch, Accelerate, Scale and Enterprise alike, except commercial leases and disputes, where the differences between plans are set out in those sections.

What every plan covers

2.1

Every plan includes unlimited advice by telephone, video call, email and the Client Hub, with no time limit on calls, and the drafting, review and negotiation of the documents your business runs on, through to signature. That support covers commercial contracts, employment, data protection, intellectual property, corporate matters, regulatory compliance, commercial property, and disputes and debt recovery.

2.2

This is everyday work, meaning the legal work that arises in the ordinary running of your business.

2.3

Larger projects fall outside your subscription, such as buying or selling a business, raising investment, or preparing a full suite of policies or a set of template contracts for a new line of business. We quote these as a fixed fee and begin only once you have accepted the quote. If we think a request falls outside your subscription, we will inform you before we start, and you will never be charged extra for work you have not agreed to. Section 3 gives examples in each service area, and section 6 lists the work no plan includes.

2.4

Each plan carries a discount on fixed fees of 10% on Launch, 20% on Accelerate, 30% on Scale and 50% on Enterprise, given in addition to any subscription discount.

What is included in each service area

For each service area, what your plan includes and, in the grey panel, what we quote as a fixed fee.

Commercial contracts

INCLUDED

Customer and supplier contracts, terms and conditions and terms of business, non-disclosure agreements, master services, SaaS and consultancy agreements, data processing agreements, the review of contracts you receive, and negotiation.

A set of contracts prepared together for a new product line or business model is quoted as a fixed fee.

Employment

INCLUDED

Employment and consultancy agreements, individual policies, a staff handbook, disciplinary and grievance advice, settlement agreements to end an employment on agreed terms, and settling a dispute with an employee.

Restructuring and redundancy programmes are quoted as a fixed fee. Employment tribunal claims, once issued, are referred to a specialist firm.

Data protection

INCLUDED

A privacy notice, a cookie policy, a single data protection impact assessment, responding to a subject access request, and advice on a data breach.

Bringing the whole business into line with UK GDPR in one exercise, with a data audit, the record of processing activities and the full set of policies and supplier agreements, is quoted as a fixed fee.

Intellectual property

INCLUDED

UK trade mark searches and applications with advice on the classes to file in, IP assignments and licences, cease and desist letters, and responding to a threatened opposition, including the cooling-off period and any coexistence agreement. Official fees are payable at cost.

Defending a formal opposition once a defence has to be filed, and international trade mark applications, are quoted as a fixed fee.

Corporate

INCLUDED

Board minutes, resolutions, Companies House filings, simple share transfers, and a founders' shareholders' agreement with no investors.

Buying or selling a business, investment rounds, startup legal packs, share option schemes and shareholders' agreements with investors are quoted as a fixed fee.

Regulatory and compliance

INCLUDED

Guidance on the rules for your sector, anti-bribery and cyber security policies, a modern slavery statement, and a single letter or response to the Information Commissioner's Office, the Advertising Standards Authority or Trading Standards.

Investigations, licence applications and ongoing regulatory matters are quoted as a fixed fee. Matters involving the Financial Conduct Authority are referred to a specialist.

Commercial leases

4.1

Each plan includes one new lease, renewal or underlease a year, including negotiating the heads of terms. On Launch, the lease can run for up to three years, with annual rent and any premium under £50,000. On Accelerate, it can run for under seven years if it does not need registering at HM Land Registry, with annual rent and any premium under £150,000. On Scale and Enterprise, it can run for up to 15 years, including registrable leases. We act for the landlord or the tenant, but never for both, and a second lease in the same year is quoted as a fixed fee.

4.2

Licences, deeds of variation, rent deposit deeds and surrenders are everyday work on every plan and do not count as your lease for the year. On Scale and Enterprise, your lease also covers unopposed renewals under the Landlord and Tenant Act 1954.

4.3

Court applications, portfolio and multi-let lettings, and obtaining a lender's or superior landlord's consent are not included. Your accountant normally files any Stamp Duty Land Tax return, and we file it only once you have confirmed the tax position to us in writing.

Disputes and debt recovery

5.1

Every plan includes pre-action work on disputes, including contract, shareholder and director disputes. This covers advice, letters before action, responding to claims made against you, and negotiating a settlement. On Enterprise, we take a dispute through to settlement, short of issuing proceedings.

5.2

Court and tribunal proceedings are not included on any plan. If a matter reaches court or a tribunal, we refer it to a specialist disputes firm and, on Enterprise, coordinate that firm on your behalf. The specialist firm's fees are disbursements.

5.3

Debt recovery is included where a single debtor owes you £2,500 or more, whether on one invoice or several. For smaller debts, we can provide guidance and letter templates, or prepare a letter before action for a fixed fee.

Not included, and disbursements

6.1

No plan includes court or tribunal proceedings, applications to court to protect a landlord's or tenant's position, acting for both sides of the same transaction, obtaining the consent of a lender or superior landlord, matters involving the Financial Conduct Authority, or advice on the law of any country other than England and Wales.

6.2

Disbursements are payable by you at cost. They include official and registry fees, search fees, Stamp Duty Land Tax, court fees, and the fees of foreign agents and specialist firms. We will always let you know before incurring a disbursement on your behalf.
